Terms & Conditions

1. Scope


These Terms and Conditions apply to all sales, purchases, exchanges, and consignments of aircraft parts, materials, and components conducted by Ola Aerospace (“Seller”) with any customer or supplier (“Buyer”).


Ola Aerospace operates under a Quality System compliant with ASA-100, recognized under FAA Advisory Circular 00-56, ensuring compliance with applicable requirements under 14 CFR Parts 21, 43, and 145 related to airworthiness, maintenance, and distribution of civil aviation articles.


2. Quality and Certification


  • All parts sold, purchased, or exchanged by Ola Aerospace shall be traceable to an FAA-approved source per ASA-100 and FAA AC 00-56B standards.
  • Acceptable airworthiness documentation includes, but is not limited to:
  • FAA Form 8130-3, EASA Form 1, TCCA Form One, or equivalent documentation from recognized civil aviation authorities.
  • Certificates of Conformance (C of C) or teardown reports where applicable.
  • All parts are described and classified according to FAA definitions under 14 CFR Part 43 Appendix A (e.g., New, New Surplus, Overhauled, Serviceable, As Removed).
  • Ola Aerospace maintains full traceability from the original source to the end-user, as required by ASA-100 Section 5.
  • The company’s quality assurance system ensures that no Suspected Unapproved Parts (SUPs) enter or exit its inventory, consistent with FAA AC 21-29C and 14 CFR §21.9(a).

3. Right of Rejection and Returns


  • Buyers must inspect all parts upon receipt for conformity, documentation, and condition.
  • All discrepancies, shipping damage, or non-conformances must be reported in writing within ten (10) business days of delivery.
  • No part may be returned without a written Return Material Authorization (RMA).
  • All returns must be accompanied by original trace documentation, packaging, and certification.
  • Ola Aerospace reserves the right to inspect all returned items prior to credit, replacement, or refund.

4. Warranty and Airworthiness


  • Ola Aerospace warrants that all products supplied meet the specifications, documentation, and conditions stated at the time of sale.
  • Ola Aerospace makes no representation or warranty regarding the future airworthiness or suitability of parts installed on certificated aircraft unless explicitly stated.
  • No implied warranties of merchantability or fitness for a particular purpose apply.
  • Liability is limited strictly to the replacement or refund of the purchased item’s value.

5. Traceability, Documentation, and Record Retention


  • Ola Aerospace maintains detailed incoming and outgoing records for all transactions per ASA-100 Section 7.4 and FAA AC 00-56B requirements.
  • All records (including receiving inspection, traceability, and shipment documentation) are retained for a minimum of seven (7) years.
  • Buyer agrees to preserve documentation integrity for any subsequent transfer, resale, or installation of the parts.
  • Any alteration, loss, or misrepresentation of documentation voids all warranties and may be reported to the FAA per FAA Order 8120.16.

6. Export Control and Regulatory Compliance


  • Ola Aerospace complies fully with U.S. Export Administration Regulations (EAR), International Traffic in Arms Regulations (ITAR), and U.S. Department of Commerce and State Department export control laws.
  • Buyer agrees not to export or re-export any part or data in violation of these regulations.
  • All export-controlled items will be clearly identified, and required licenses obtained prior to shipment.

7. Payment Terms


  • Standard payment terms are Net 30 Days from invoice unless otherwise stated in writing.
  • Late payments are subject to a 1.5% monthly service charge or the maximum rate allowed by law.
  • Title and risk of loss transfer upon delivery or full payment, as specified in the purchase agreement.

8. Limitation of Liability


  • Ola Aerospace shall not be liable for incidental, indirect, or consequential damages, including but not limited to loss of revenue, downtime, or profit.
  • Total liability for any claim arising under these Terms and Conditions shall not exceed the total value of the parts supplied under the applicable invoice.

9. Counterfeit and Unapproved Parts Prevention


  • Ola Aerospace adheres to strict counterfeit part prevention procedures consistent with ASA-100 Section 9.2, FAA AC 21-29C, and AS9120B standards.
  • Any suspected unapproved, counterfeit, or undocumented part is quarantined and investigated immediately.
  • Ola Aerospace will cooperate with the FAA Suspected Unapproved Parts Program for all confirmed cases and notify affected customers and authorities as required.

10. Ethical Conduct and Supplier Control


  • Ola Aerospace maintains ethical business practices in compliance with ASA-100 Section 12 and FAA AC 00-56B Section 8.
  • The company conducts ongoing supplier evaluation, monitoring, and approval based on quality, traceability, and compliance performance.
  • Ola Aerospace prohibits bribery, misrepresentation, falsification of records, and any action that compromises safety or compliance.

11. Governing Law


  • These Terms and Conditions are governed by the laws of [Insert State/Country], without regard to conflict of law provisions.
  • Any disputes shall be resolved in the courts of [Insert Jurisdiction], unless otherwise agreed in writing.

12. Entire Agreement


  • These Terms and Conditions constitute the entire agreement between Ola Aerospace and the Buyer, superseding all prior agreements, quotations, or communications.
  • Any modifications must be made in writing and signed by an authorized representative of both parties.
